Terms of Service

Last updated 14 September 2026

These terms cover two things: using this website, and engaging Vula Systems for work. Where a signed quote or agreement for a specific project says something different, that document wins.

1. Pricing

We do not publish prices on this site. Every project is priced to its scope, and the price for your project is the one in the written quote we send you after we have discussed what you need. Once we have sent you that quote, we hold the price in it for 60 days from its date.

Vula Systems is not registered for VAT, so no VAT is added to our quotes. The amount on your quote is the amount you pay for the work it covers.

2. How an engagement works

We agree the scope in writing before work starts. The quote sets out what is included, what it costs, the timeline, how many rounds of revision the price covers, and the payment schedule. Anything outside that scope is quoted separately before we do it — you will not receive a surprise invoice.

Where you book one of the packages or services published on this site, the deliverables listed against it there are what you get. Your quote can add to that; it will not quietly take anything away.

3. Paying, and cancelling

Packages are paid in two parts: half to book your slot and start the work, and the balance before the final files are released to you. Your quote sets out the payment schedule for your project.

You can cancel at any point by telling us in writing. What happens to the money depends on how far the work has got:

  • If you paid a deposit, we keep it and you owe nothing further. It covers the slot we held for you and the work already done, which on most projects begins the day your payment clears.
  • If you paid in full and we have not yet sent the first concepts, we refund half of what you paid.
  • If you paid in full and the first concepts have reached you, no refund is due. The creative work is the bulk of what the price is for, and it is already in your hands.

Anything quoted separately that we have not started is refunded in full. Refunds are paid back the way you paid us, within 14 days.

We can cancel too. If we cannot do the work to the standard we promised, or the project stalls on our side, you get back everything you have paid for work not delivered.

Final files are released once the project is paid in full. Where a balance is overdue we will raise it with you rather than let it drift, and we may hold further work until it is settled.

4. What we need from you

Projects run on your input: brand material, copy, product information, and timely feedback at the review points. Delays in providing these move the delivery date.

When you send us material — logos, photographs, text, fonts — you confirm you have the right to use it and to let us use it for your project. We are not able to verify the licensing of material supplied to us, and we rely on that confirmation.

5. Ownership of the work

Ownership of the final delivered work passes to you once the project is paid in full. Until then it remains ours.

Concepts and drafts we produced but which you did not select stay ours. So do the underlying tools, templates and working methods we use across clients — you own your brand, not our workshop.

Third-party assets that carry their own licence — typefaces and stock imagery in particular — are licensed to you on those owners' terms, not transferred by us. We will tell you when a deliverable depends on one.

6. Showing the work

We would like to show completed work in our portfolio and on social media. If you would rather we did not, tell us and we will not — during the project or at any point afterwards. Unreleased work is never shown before you have launched it.

7. AI-assisted production

We use AI-assisted workflows as part of how we work, which is part of how we keep costs down. What that means in practice, and what we commit to, is set out on the AI Ethics page. Those commitments form part of these terms.

8. This website

The content here is provided for information. We keep it accurate and current as best we can, but we do not promise the site will always be available or error-free, and the packages described here can change.

The text, design and code of this site belong to Vula Systems. Please do not copy them for your own use.

9. Liability

We take responsibility for doing the work we agreed to a professional standard. Beyond that, our liability for any project is limited to the amount you paid us for it. We are not liable for indirect or consequential losses, such as lost profit or lost business.

Nothing here limits any liability that cannot lawfully be limited, including your rights under the Consumer Protection Act where it applies to you.

10. If something goes wrong

Tell us first. Most problems are a conversation, not a dispute. If we genuinely cannot resolve it between us, these terms are governed by South African law and the South African courts have jurisdiction.

11. Changes

We may update these terms. The version that applies to your project is the one in force when the quote was accepted. The "last updated" date above tracks changes here.

12. Who you are dealing with

Vula Systems is the trading name of a sole proprietorship owned and run by Mbuso Ngidi. It is not a registered company and it is not registered for VAT. Engaging Vula Systems means contracting with him directly.

Vula Systems operates online and does not trade from business premises open to the public, so there is no address to visit. Our full address is on every quote and invoice we issue, and we will provide it on request to anyone who needs it.
